If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.
This Agreement is between Big Sister AI Company and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.

By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.
Order Form
Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1 (https://commonpaper.com/standards/cloud-service-agreement/2.1/), which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.
Cloud Service: Sales performance platform that functions as an AI tracker and sales mentor, designed to enhance human selling abilities by analyzing sales actions, providing personalized development plans, and offering real-time performance assessments. The platform includes three core offerings: an AI-powered analytics product, personalized mentorship/advisory services, and professional SalesOps consulting, all working together to transform every representative into a top performer and prevent costly human mistakes that cause potential customers to be dropped after first contact.

Cloud Service Fees:
Certain parts of the Product have different pricing plans, which are available at Provider’s pricing page (https://www.big-sister.ai/pricing). Customer will pay Provider the applicable Fees based on the Product tier and Customer’s usage. Provider may update Product pricing by giving at least 30 days notice to Customer (including by email or notification within the Product), and the change will apply in the next Subscription Period.
Payment Process:
Bill by invoice: Provider will invoice Customer monthly. Customer will pay each invoice within 5 day(s) from the last day of the Subscription Period.
Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period.
Use Limitations: Geographic Restrictions - The product is authorized for use primarily in the United States, with specific focus on US-based technology companies as outlined in your target customer profile. - While international access is not explicitly prohibited, technical support, sales operations consulting, and certain features may be optimized for US business practices and time zones. User Limitations - The platform is designed for sales teams with a minimum of 2 salespeople, as specified in your customer targeting documentation. - Each pricing package includes specific user limitations. - Additional users may be added for an incremental fee per user per month. Usage Limitations - The platform may only be connected to supported CRM systems including Pipedrive, HubSpot, ZOHO, Creatio, and Salesforce. - Data analysis is limited to sales interactions across calls, meetings, emails, and CRM data as specified in your service description. - AI analysis capabilities are limited to the specific sales metrics and skills assessments outlined in the product documentation. - Customers may not use the platform to analyze non-sales related activities or personnel. Technical Limitations - API access and integrations are limited to those explicitly supported by Big Sister AI. - Data storage and retention policies apply according to the subscription tier. - The platform's AI capabilities are subject to the technical limitations of the underlying models and may be updated or modified at Big Sister AI's discretion.
Professional Services: Big Sister AI offers the following professional services as part of our SalesOps Package:
SYSTEM
- Assessment: Formulation and detailing of client requirements through comprehensive analysis.
- Audit: Conducting interviews, reviewing documents, and analyzing existing software systems.
- Current State Analysis: Systematization and documentation of existing business processes.
- Future State Design: Development of recommendations for system improvements.
- Pipeline Development: Creation of structured sales business processes with defined stages, goals, responsible roles, and checklists.
TECHNOLOGY
- Requirements Documentation: Creation of detailed automation specifications for system implementation.
- CRM Implementation: Setup, configuration, and customization of CRM systems.
- Communication Integration: Configuration and integration of communication channels with CRM systems, including calls, emails, and video conferencing.
- Software Configuration: Setup of task management tools, cloud office solutions, dashboards, AI tools, and other relevant applications.
- Analytics Implementation: Configuration of multi-channel analytics for comprehensive performance tracking.
PERSONNEL
- Process Documentation: Development of standardized rules, algorithms, templates, and scripts for sales processes.
- Role Definition: Establishment of clear roles, responsibilities, and performance standards.
- Training: Comprehensive team training on new systems and standards with practical application sessions.
- Performance Monitoring: Regular monitoring of compliance with established standards, reporting on sales dynamics, and creation of personalized skill development maps.
- Technical Support: Ongoing support for implemented tools with adjustments based on team feedback.
MANAGEMENT
- Executive Reviews: Regular meetings with leadership to review results and discuss optimizations.
- Knowledge Transfer: Methodical transfer of project management responsibilities as appropriate.
- Strategic Mentorship: Continuous guidance to refine workflows and improve team performance based on analytics insights.
- Operational Support: Assistance for both personnel and systems to ensure operational continuity.
These professional services are provided according to the terms specified in the applicable Order Form and Statement of Work. Additional services may be available upon request for additional fees as agreed upon by both parties.
Key Terms
Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word "Customer" in the Agreement will mean that company.
Provider: Big Sister AI Company
Effective Date: The date Customer first accepts this Agreement.
Governing Law: The laws of the State of Delaware
Chosen Courts: The state or federal courts located in Delaware
Covered Claims:
Provider Covered Claims: - A lawsuit claiming that the Big Sister AI platform, its AI algorithms, or any proprietary technology violates someone else's intellectual property rights
- A lawsuit arising from a data breach or security incident caused by Big Sister AI's failure to implement reasonable security measures
- A lawsuit claiming that Big Sister AI's analysis, recommendations, or coaching violates applicable laws or regulations when used as directed Customer Covered Claims: - A lawsuit about the content, data, or information they upload to the Big Sister AI platform violating someone else's intellectual property rights or privacy rights
- A lawsuit arising from the customer breaching the usage limitations of the Big Sister AI platform, such as using it for purposes other than sales performance improvement or exceeding user limitations
- A lawsuit resulting from the customer's modification, misuse, or improper integration of the Big Sister AI platform with unauthorized third-party systems
- A lawsuit claiming that the customer's use of Big Sister AI's analytics, insights, or recommendations in a manner inconsistent with provided guidelines caused harm to a third party
General Cap Amount: The fees paid or payable by Customer to provider in the 12 month period immediately before the claim
